The ideal candidate will have 2 to 4 years of experience, preferably in a large firm environment, working on matters involving qualified retirement plans, equity compensation, executive agreements, and benefits-related aspects of transactions. This opportunity is suited for attorneys looking to be part of a collaborative, sophisticated tax and benefits practice advising on a range of complex and high-value corporate transactions.

Advise clients on the design, implementation, and compliance of executive compensation and employee benefit programs
Draft and review employment agreements, incentive and equity plans, and severance arrangements
Address compensation and benefits issues in connection with corporate transactions, including:
Mergers and acquisitions
Carve-out transactions
Initial public offerings (IPOs)
Spin-offs
Counsel on ERISA compliance and tax implications under the Internal Revenue Code
Collaborate with attorneys across practice groups on multidisciplinary matters
Conduct due diligence and prepare transaction-related documentation
2–4 years of experience in executive compensation and employee benefits law
Prior experience at a large law firm is preferred
Strong working knowledge of tax and regulatory issues relating to employee benefits and executive compensation
Experience advising on compensation-related issues in M&A or other corporate transactions
Juris Doctor (JD) from an accredited law school
Strong academic credentials required
Admission to practice law in New York (or ability to obtain admission promptly)
Strong legal research, drafting, and analytical skills
Excellent communication and client service capabilities
Detail-oriented with the ability to manage multiple complex matters
Collaborative mindset and ability to contribute to a national team
Proficiency in managing compensation and benefits aspects of corporate deals
