Transactional Paralegal
The candidate will cradle to grave contracts administration including securing appropriate approvals and drafting correspondence. Maintain and monitor compliance with company’s Contract Management Policy to ensure timely renegotiation, fee increases and renewals, as applicable. Draft, negotiate, and manage assigned contracts and amendments such as NDAs, statements of work, task orders, order forms and nondisclosure agreements, under the direction of the Legal team. Draft and manage contract compliance issues including but not limited to letters of default, termination, suspension, and demand for payment. Serve as initial point of contact for the Legal team. Track, coordinate and document approval and signature process for all contract documents, including the distribution of fully executed contracts to external customers and internal departments for servicing. Fully update and maintain company’s records management system. Monitor vendor renewal obligations for existing contracts. Develop and maintain familiarity with all contract files, including content and organization. Research existing contracts to address questions or issues. Provide advice and counsel to sales team, accounting department and line functions as appropriate concerning contracts and performance of contractual obligations as impacts their functional areas. Provide contract support to the Sales proposal department for RFP submissions and to the Compliance Management and Customer Support department for ongoing vendor audits and assessments. Must exercise discretion and sound judgment and be capable of handling sensitive materials and maintaining confidentiality. Work with other members of the group to define, develop, implement, execute and maintain all facets of contract management including: automated tools, work flows, and the review and approval processes. Identify opportunities to improve contract management process and support process improvement projects (templates, standard terms, system updates, SOPS) to drive operational efficiencies and standardization throughout the company. Provide general support for the Legal Department.
