Job Overview:
A prestigious law firm is seeking a highly skilled and motivated Private Funds Associate Attorney with 5-6 years of experience in private fund formation and operation. This role offers the opportunity to work on cutting-edge matters alongside experienced professionals, focusing on private equity, leveraged buyouts, venture capital, hedge, mezzanine debt, real estate opportunity funds, and other types of limited partnerships, LLCs, and joint ventures. Duties:

  • Advise clients on the formation and operation of private funds, including private equity, venture capital, and hedge funds.
  • Draft and negotiate key fund documents such as limited partnership agreements, subscription agreements, and side letters.
  • Guide clients through complex legal structures involving joint ventures, limited liability companies, and other fund-related entities.
  • Provide strategic advice to clients on regulatory compliance, tax considerations, and other operational aspects of private funds.
  • Support clients in fundraisers, capital raising activities, and ongoing fund management.
  • Collaborate closely with internal teams, ensuring seamless communication and execution of legal strategies.
  • Manage client relationships, ensuring consistent, high-quality service delivery.
  • Mentor junior attorneys and assist in their professional development.

Requirements:

  • 5-6 years of experience in private funds formation and operation, including exposure to multiple fund structures.
  • Excellent written and verbal communication skills, with the ability to articulate complex legal matters concisely and effectively.
  • Strong work ethic, excellent organizational skills, and attention to detail.
  • Leadership qualities and the ability to work independently as well as in a team setting.
  • Must be licensed to practice law in the state of Colorado or be eligible for admission through waiver.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to CO State Bar or eligibility for admission via waiver.

Skills:

  • Proficiency in private fund structures and regulatory requirements.
  • Strong negotiation and drafting abilities.
  • Ability to handle complex legal and business issues with ease.
  • Client-focused approach, with strong interpersonal skills.
