Duties:

• Represent clients in securities reporting and M&A transactions
• Draft and review corporate documents, including securities filings, merger agreements, and business transaction documents
• Provide expert legal advice on complex corporate matters, mergers, acquisitions, and business operations
• Offer strategic insights on regulatory matters, particularly in the bank regulatory space
• Build and maintain strong relationships with clients, ensuring excellent service and communication
• Work alongside a dedicated team of attorneys, supporting a collaborative and professional environment
• Assist in the development of junior attorneys and provide mentorship
• Stay current with industry trends, legal developments, and changes in corporate law

Requirements:

• Minimum of 6 years of experience in corporate law, specifically in securities reporting, M&A, and bank regulatory matters
• Proven experience in handling routine securities filings and business transactions
• Strong background in mergers and acquisitions
• Familiarity with regulatory frameworks for banking and financial institutions
• Demonstrated ability to work independently while being an effective team player
• Exceptional writing, analytical, and communication skills
• Ability to handle complex issues with unique, insightful perspectives

Education:

• J.D. from an accredited law school

Certifications:

• Licensed to practice law in the State of Indiana, Kentucky, Ohio, or Maine
