Associate General Counsel
The candidate will report day-to-day to the Deputy General Counsel, will be responsible for supporting Company by providing legal counsel and drafting and negotiating agreements under the supervision of the Senior Associate General Counsel and the General Counsel, with responsibilities including those listed below: Drafting, editing, and negotiating a full range of health care contracts, including agreements for clinical and administrative services, managed care and commercial payor agreements, complex commercial transactions and strategic business arrangements, license agreements, purchasing agreements, employment agreements, clinical trial agreements, asset purchase agreements, real estate leases, capital leases, business associate agreements, professional consulting services agreements, agreements for IT products and services, design and construction services agreements, marketing-related agreements and arrangements and other documents related to the provision of clinical care and operation of a multi-facility health network. Advising members of senior management, including c-level executives, on a variety of legal and compliance issues related to the Anti-kickback Statute, Stark Law, reimbursement, HIPAA, performance of clinical trials, and delivery of patient care. Responding to regulatory audits, governmental inquires, and requests for information, and supervising responses to Freedom of Information Law requests. Collaborate with the Compliance, Purchasing, and Risk Management Departments. Research complex legal issues related to health law, not-for-profit corporations, and New York State public benefit corporations. Coordinate and supervise work of outside counsel. Experience with New York State and federal procurement laws and regulations a plus. Should have 7-10 years of experience. Must have excellent interpersonal, contract drafting, and overall writing and communication skills.
