Job Overview

A law firm seeks a mid to senior-level corporate associate to join its Los Angeles, CA office. This role involves working with public companies on reporting, compliance, corporate governance, and capital markets. The associate will support a national capital markets and public company advisory practice.

Duties

• Conduct thorough legal research and analysis for transaction preparation.
• Draft legal documents, including memos and contracts.
• Assist in managing complex transactions from inception to resolution.
• Build and maintain strong client relationships.
• Collaborate with colleagues to develop transaction strategies.
• Participate in high-level legal activities, including client meetings.
• Ensure compliance with legal standards and regulations.
• Engage in professional development opportunities.
• Contribute to firm programs and community involvement.

Requirements

• Minimum 4 years of experience in public company and capital markets.
• Experience with public companies and periodic reporting.
• Strong knowledge of the Securities Act of 1933 and the Securities Exchange Act of 1934.
• Experience with Nasdaq and NYSE listing and governance requirements.
• Experience with issuers, underwriters, and financial intermediaries.
• AmLaw 100 law firm experience preferred.

Education

• JD degree from an accredited law school.

Certifications

• Admitted to practice in the state of California.
