Job Overview

A law firm seeks an Employee Benefits and Executive Compensation Associate with 3 to 6 years of experience to join its team in Houston, TX. The successful candidate will support client teams on executive compensation matters, particularly for public companies, and on compensation and benefits aspects of M&A transactions.

Duties

• Draft equity and incentive plan documents and related award agreements.
• Assist with executive hiring and termination events, including employment and severance agreements.
• Prepare public company executive compensation disclosures and ensure compliance with SEC rules.
• Draft and analyze nonqualified deferred compensation plans and supplemental executive retirement plans.
• Support transactional work, including due diligence and preparation of disclosure schedules.
• Monitor and summarize legislative and regulatory changes.
• Contribute to thought leadership and knowledge management initiatives.

Requirements

• 3 to 6 years of relevant experience.
• Strong written and oral communication skills.
• Proficiency in research and analytical skills.
• Experience with IRC sections 409A and 280G.
• Licensed and in good standing in the state of practice.

Education

• Juris Doctor (JD) degree.

Certifications

• Bar admission in the state of practice.

Skills

• Strong drafting and negotiation skills.
• Proficiency with SEC disclosure rules.
• Ability to manage multiple projects and deadlines.
