Duties:

  • Draft and negotiate a wide range of intellectual property licenses, including patent and trademark licenses.
  • Handle joint development, collaboration, and other strategic alliance agreements.
  • Negotiate technology licenses and services agreements, including software as a service agreement.
  • Manage distribution agreements and ensure compliance with legal requirements.
  • Perform intellectual property and technology transaction due diligence for corporate transactions and technology transfers.
  • Provide legal support in the area of intellectual property and technology transaction due diligence.
  • Collaborate with clients to understand their business needs and provide legal advice accordingly.
  • Conduct legal research and analysis as necessary to support clients' legal matters.
  • Attend meetings, hearings, and negotiations on behalf of the firm's clients.
  • Keep up-to-date with the latest developments in intellectual property and technology law.

Requirements:

  • 3-6 years of experience as an attorney, preferably with a focus on intellectual property licensing and technology transactions.
  • Strong expertise in intellectual property law, technology transfer, and life sciences corporate transactions.
  • Outstanding academic credentials.
  • Comparable law firm experience.
  • Excellent written and verbal communication skills.
  • CA Bar admission or eligibility to obtain admission promptly.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • CA Bar admission or eligibility to obtain CA Bar admission promptly.

Skills:

  • Proficient in drafting and negotiating intellectual property licenses.
  • Strong understanding of technology transfer and corporate transactions in the life sciences field.
  • Ability to handle various technology transactions, including collaboration agreements and technology licenses.
  • Legal research and analytical skills.
