Counsel - Sales And Marketing / Transactions
The candidate will be responsible for: Negotiate and draft agreements designed to improve and manage company’s dealer network, including the following: Dealership stock, asset and real property acquisitions and dispositions; Establishment, re-establishment and/or termination of dealerships; Dealership facility construction, improvements and relocations; Changes in dealer operators; Exclusivity, site control and/or rights of first refusal; Real estate transactions, including leases/leasebacks, assignments, and intercreditor agreements; and Settlement of disputes and protests. Provide counsel to company sales and field personnel under company’s Dealer Sales and Service Agreement and state laws governing the relationship between an OEM and its dealers. Support the development and evolution of the dealer network to adapt to company’s mobility, safety, ride sharing and autonomous vehicle initiatives. Assist in the coordination of legal advice to support dealer network activities within company. Draft and negotiate contracts with vendors and suppliers providing services to the company sales and marketing organization. Assist in the development of training for the sales and marketing client on transactional matters and developments in dealer laws. Support client programs, incentives and initiatives relating to its dealer relationships and dealer network. Participate directly in strategy development and business planning of relevant client or business function. Draft, interpret, and negotiate contracts and templates for relevant commercial transactions. Collaborating with internal business functions in the management of commercial agreements, IT agreements, and other company agreements. Develop strong expertise on evolving regulations relevant to client/stakeholder. Standardize and improve processes. Managing vendor and supplier relationships. Provide legal consultation with respect to all aspects of global product development and vehicle safety. Draft software, data, and hardware licensing and maintenance agreements. Identify and implement streamlining improvements in the commercial transaction process to improve business performance and compliance. Developing training and integrating legal function with business clients. Law degree and ability to obtain Michigan law license is required. Should have 4-6 years of transactional/real estate practice experience in a law firm. In house experience helpful. Experience with automotive franchise/distribution agreements, retail distribution and brand issues is preferred.
