The candidate will provide thorough factual and legal research and analysis. Manage projects from commencement to closing. Competently and professionally communicate with clients and supervising attorneys. Complete tasks efficiently. Should have 3-5 years of prior associate-level experience with strong employee benefits and executive compensation experience both from a regulatory/compliance perspective, as well as mergers and acquisitions. Juris Doctor. Must be and remain licensed to practice law and in good standing in Texas. Familiarity with various laws, such as ERISA, IRC, ACA, MHPAEA, and HIPAA. Ability to counsel clients regarding compliance with federal and state laws governing qualified retirement plans, health and welfare plans, and deferred compensation plans. Experience in evaluating employee benefits and executive compensation matters in the context of corporate mergers and acquisitions. Ability to draft employee benefit plan documents and correct plan failures and other operational issues through the voluntary correction programs offered by the IRS and the Department of Labor. Ability to draft equity and incentive-based compensation plans. Ability to communicate effectively orally and in writing. Ability to work effectively under pressure and to meet deadlines. Strong problem-solving, organization and matter-management skills. Clear and effective drafting skills. Exceptional project management skills.
