Duties

• Handle registered securities offerings, PIPEs, and SEC regulations.
• Manage '33 Act Registration Statements and '34 Act periodic filings.
• Engage in mergers & acquisitions and general corporate law.
• Conduct SEC research and ensure regulatory compliance.
• Develop and maintain client relationships with a proactive approach.

Requirements

• Minimum of 1 year of experience with regulatory requirements and compliance issues.
• 1+ years of legal experience with high-growth, early-stage businesses.
• Strong interpersonal communication skills and attention to detail.

Education

• Juris Doctor (JD) degree.

Certifications

• Admitted to the New York State Bar.

Skills

• Proficiency in securities offerings and SEC regulations.
• Experience with mergers & acquisitions and corporate counseling.
• Self-motivated with a commitment to client outcomes.
