Job Overview

A law firm seeks a Senior Associate in Washington, DC to prepare legal memoranda and opinion letters, and draft and review complex corporate and financial documents related to securities law, private equity, and financing transactions.

Duties

• Prepare legal memoranda and opinion letters.
• Draft and review sophisticated corporate and financial documents.
• Advise and represent clients in U.S. and international corporate and financial transactions.
• Close corporate and private equity transactions.
• Coordinate among client's advisors, including law firms, lenders, accountants, and consultants.
• Support discussions to develop transaction objectives and legal parameters.
• Draft and negotiate contracts and other legal documents.
• Formulate legal strategy based on research of relevant laws and precedents.

Requirements

• Four years of experience as an Associate or related occupation.
• Experience advising on securities offerings, private fund formation, and liability management transactions.
• Experience in closing corporate and private equity transactions.
• Experience in drafting and negotiating contracts in private equity, M&A, and finance.
• Admitted to practice law in the State of New York.

Education

• J.D., LL.M., or equivalent.

Certifications

• Admitted to practice law in New York.

Skills

• Expertise in U.S. and international corporate and financial transactions.
• Strong legal research and analytical skills.
• Excellent drafting and negotiation abilities.
