A law firm is seeking a tax associate attorney for their office in Cleveland, Ohio. The ideal candidate should have 3 years of experience with a predominant focus on federal income taxation, including taxable and tax-free mergers and acquisitions, debt and equity financings, and corporate, partnership, and limited liability company formations. Strong communication, analytical, and writing skills are required. The candidate must be admitted to practice in New York State. An accounting background, LLM, tax court clerkship, investment fund, or other tax transactional experience is preferred, and experience with US international taxation is a plus.

Job Overview:

The Tax Associate Attorney will provide legal advice and support on various tax matters, including federal income taxation, mergers and acquisitions, financings, and entity formations. The role requires strong analytical skills, effective communication, and attention to detail to ensure compliance with tax laws and regulations.

Duties:

• Provide legal counsel and guidance on federal income taxation matters.
• Assist with taxable and tax-free mergers and acquisitions.
• Advise on debt and equity financings from a tax perspective.
• Assist in corporate, partnership, and limited liability company formations.
• Conduct legal research and analysis on tax issues.
• Draft legal documents, including agreements, memoranda, and opinions.
• Collaborate with other attorneys and professionals on tax-related projects.
• Stay updated on changes in tax laws and regulations.

Requirements:

• Minimum of 3 years of experience with a focus on federal income taxation.
• Admission to practice in New York State.
• Strong communication, analytical, and writing skills.
• Ability to work independently and collaboratively in a team environment.
• Attention to detail and accuracy in legal work.
• Ability to manage multiple tasks and prioritize workload effectively.

Preferred:

• Background in accounting.
• LLM (Master of Laws) in Taxation.
• Tax court clerkship experience.
• Experience with investment funds or other tax transactional work.
• Knowledge of US international taxation.

Education:

• Juris Doctor (JD) from an accredited law school.

Certifications:

• Admission to practice law in New York State.
