A law firm seeks an experienced attorney to join its Corporate Practice Group in Miami, Florida. The role involves representing companies in Florida and New York on a variety of corporate and securities law matters, with a focus on capital markets transactions, corporate governance, and compliance.

Duties

• Represent issuers and underwriters in capital markets transactions.
• Advise on public and private equity and debt offerings.
• Work on cross-border M&A transactions and corporate reorganizations.
• Advise clients on SEC reporting and compliance matters.
• Represent companies in the energy sector on supply agreements and related financings.
• Provide legal opinions on Florida and New York state laws.

Requirements

• 5 years of experience with public companies on SEC compliance and corporate governance.
• Experience with capital markets transactions, including Rule 144A and Regulation S offerings.
• 2 years of experience with early-stage companies and strategic transactions.
• Admitted to practice law in Florida and New York.
• Ability to travel to New York and Latin America as needed.

Education

• JD, LLM, or foreign equivalent degree.

Certifications

• Admitted to practice law in FL & NY.

Skills

• Strong analytical skills in corporate transactions.
• Proficiency in creating capitalization tables and financing models.
