Job Overview:
A highly respected law firm is actively seeking a Corporate Associate with 4–6 years of experience in public company compliance and capital markets transactions. This role offers the opportunity to work with a robust client base of public companies and high-growth enterprises, providing strategic legal counsel on SEC regulations, governance, and securities offerings. Ideal candidates will have transactional experience and a deep understanding of regulatory frameworks, with a preference for those who have worked with clients in the technology and life sciences industries.

Location:

  • San Francisco, CA

Duties:

  • Advise public companies on:

    • SEC reporting and compliance obligations

    • Corporate governance and disclosure requirements

    • Nasdaq and NYSE listing rules

  • Represent issuers and/or underwriters in capital markets transactions including:

    • Initial Public Offerings (IPOs)

    • Equity and debt offerings

    • PIPEs (Private Investments in Public Entities)

    • At-the-market (ATM) offerings

  • Address day-to-day legal issues affecting public companies

  • Collaborate with clients in innovative industries such as technology and life sciences

Requirements:

  • 4–6 years of experience in public company representation and capital markets work

  • Proficiency in securities law, SEC filings, and stock exchange compliance

  • Ability to manage complex transactions with precision and efficiency

  • Experience working with high-growth or publicly listed companies is strongly preferred

Education:

  • Juris Doctor (J.D.) degree from an accredited law school

Certifications:

  • Active membership in at least one U.S. state bar

  • Must meet bar admission requirements in the jurisdiction of the assigned office

Skills:

  • Advanced knowledge of federal securities laws and public company governance

  • Excellent drafting, communication, and analytical skills

  • Strong organizational and multitasking abilities

  • Ability to collaborate with internal teams and external clients effectively

  • Business acumen and strategic thinking in advising corporate clients
