Job Overview

A law firm seeks an Employee Benefits & Executive Compensation Associate with 3 to 6 years of experience to join its team in Houston, TX. The successful candidate will support client teams on executive compensation matters, particularly for public companies, and on compensation and benefits aspects of M&A transactions.

Duties

• Draft equity and incentive plan documents and related award agreements.
• Assist with executive hiring and termination events, including preparing employment and severance agreements.
• Prepare public company executive compensation disclosures and ensure compliance with SEC rules.
• Draft and analyze nonqualified deferred compensation plans and supplemental executive retirement plans.
• Support transactional work, including due diligence and preparation of disclosure schedules.
• Monitor and summarize legislative and regulatory changes.
• Contribute to thought leadership and knowledge management initiatives.

Requirements

• Licensed and in good standing in the state of practice.
• Experience with IRC sections 409A and 280G.
• Strong written and oral communication skills.
• Proficient research and analytical skills.

Education

• Juris Doctor (JD) degree.

Certifications

• State Bar admission.

Skills

• Proficiency in SEC disclosure rules.
• Ability to draft complex legal documents.
• Strong analytical and problem-solving skills.
