the candidate will prepare, negotiate, and revise software license agreements, SaaS agreements, and technology-enabled service agreements. Advise clients on security posture, requirements, and policies in heavily regulated industries. Apply licensing knowledge (including software, copyrights, trademarks, and patents) to various types of commercial arrangements, including license agreements, distribution agreements, collaboration agreements, and financing agreements, as well as processes like investor due diligence. Prepare, negotiate, and revise sales representative, supply, manufacturing, and services agreements and related SOWs and order forms. Prepare and review form terms and conditions and terms of service. Lead or participate in other types of commercial transactions, including mergers and acquisitions, to support clients as they grow and find new opportunities. A seasoned attorney with 5-10 years of relevant experience and a demonstrated interest in helping emerging companies thrive. Excellent contract drafting and negotiating skills and experience are essential for a new team member, and will be evaluated during hiring process.
