The candidate's responsibilities May Include: Work on a wide variety of securities offerings, including IPOs, follow-on offerings, straight debt offerings and convertible notes offerings, as well as pre-IPO convertible preferred financings. Work with companies ranging from large public companies to later-stage pre-IPO companies and their underwriters. Representing public companies on SEC disclosure and reporting, stock exchange compliance, corporate governance and other general corporate matters. Help late-stage private companies prepare for an IPO or other exit. Advise clients on shareholder proposals, stakeholder engagement issues, proxy disclosures, proxy contests and other annual meeting considerations. Work with companies on their approach to environmental, social and governance (ESG), including sensitive disclosure matters, related policies and multi-jurisdictional and multi-disciplinary cutting-edge projects. Must have a minimum of 3 years capital markets experiences.
