A law firm seeks a Transactional Attorney to join its Philadelphia office, advising dentists and veterinarians nationwide on a full spectrum of business matters. This role offers significant autonomy within a boutique environment, providing an opportunity to engage directly with clients and handle complex transactional work.
Duties
Negotiate and draft contracts, leases, purchase agreements, asset‐purchase documents, and other transaction‐related instruments
Conduct due diligence related to business acquisitions, partnerships, and real estate transactions
Advise healthcare professionals on practice formation, corporate structuring, and regulatory compliance
Collaborate with paralegals and senior attorneys to develop deal strategies and identify key risk factors
Serve as primary point of contact for clients, guiding them through transactional milestones and ensuring clarity on legal obligations
Review financial statements, operational metrics, and licensing documentation to support transactional recommendations
Manage multiple matters concurrently, tracking deadlines, deliverables, and client communications on time
Requirements
Minimum of 2 years’ experience in transactional practice, ideally with exposure to healthcare or professional‐services clients
Demonstrated ability to negotiate and draft complex business documents with minimal supervision
Strong analytical, problem‐solving, and organizational skills to handle competing priorities
Proven client orientation, with the ability to explain legal concepts in straightforward terms
Self‐starter mentality and adaptability to thrive in a rapidly growing niche practice
Education
Juris Doctor (J.D.) from an ABA-accredited law school
Certifications
Active membership in good standing with the Pennsylvania Bar (or eligibility to obtain admission promptly)
Skills
Advanced legal research capabilities and proficiency with Westlaw, LexisNexis, or similar platforms
Exceptional drafting skills tailored to transactional documents, including attention to detail and risk mitigation
Effective negotiation techniques to achieve favorable outcomes for clients
Ability to manage client relationships, address concerns, and maintain clear communication throughout the engagement
Familiarity with corporate governance, healthcare licensure, and regulatory frameworks affecting dental and veterinary practices
Competence in using document management and project-tracking software to coordinate teams and deadlines
