Job Overview

A law firm seeks a junior associate to join its Fund Formation group in New York, NY. The ideal candidate will focus on growth equity and venture capital fund formation and operations, with experience in private investment funds or a similar group at a top-tier law firm.

Duties

• Advise funds in all stages of operations, including preparing offering materials.
• Draft partnership, limited liability company, and other governing agreements.
• Process investor subscription documents and negotiate with investors.
• Draft side letters and counsel fund managers on securities laws and fund structures.
• Advise on general fund operations, including compliance and regulatory matters.

Requirements

• JD from 2023 to 2025.
• Previous large law firm experience required.
• High level of academic achievement from a nationally recognized law school.
• Strong preference for candidates licensed to practice law in New York and in good standing.

Education

• Juris Doctor (JD)

Certifications

• Licensed to practice law in New York (preferred)

Skills

• Experience with private investment funds and regulatory compliance.
• Strong negotiation and drafting skills.
• Ability to advise on complex fund operations and structures.
