Duties:
Handle corporate transactional matters including mergers, acquisitions, financings, and joint ventures
Advise clients on formation, structuring, and governance of various business entities
Draft and negotiate contracts, operating agreements, and other corporate documentation
Collaborate with senior attorneys and partners on complex deal structures
Manage due diligence and regulatory compliance related to corporate transactions
Conduct legal research and analysis related to corporate and entity law
Maintain client relationships and ensure timely delivery of high-quality legal services
Requirements:
4-6 years of legal experience focused on corporate law or entity structuring at a law firm
Demonstrated involvement in transactional work, including drafting and negotiating agreements
Admission to the Pennsylvania Bar is required
Ability to work independently and as part of a broader team
Education:
Juris Doctor (J.D.) from an accredited U.S. law school
Certifications:
Active and in good standing with the Pennsylvania Bar
Skills:
Strong legal drafting and analytical skills
Attention to detail with a proactive, solutions-oriented mindset
Excellent organizational and communication abilities
Capable of managing multiple matters concurrently
