Profile

A law firm seeks an associate attorney in Boston with 3–6 years of experience advising on sophisticated transactions across a range of alternative asset categories. This role entails supporting institutional investors, such as sovereign wealth funds, secondary market purchasers, and asset managers, in complex cross-border and domestic deals involving private equity, credit, real estate, venture capital, and infrastructure.

Duties

  • Draft, evaluate, and negotiate a variety of transactional documents, including acquisition agreements, partnership deeds, and financing instruments

  • Lead thorough due diligence efforts and identify regulatory or legal risks, proposing solutions to mitigate exposure

  • Counsel clients on compliance and regulatory nuances affecting alternative investments

  • Collaborate with multidisciplinary teams (tax, regulatory, litigation) to deliver integrated legal advice

  • Represent investor interests during negotiations, ensuring their objectives are communicated and safeguarded

  • Advise on structuring and executing secondary market trades, including cross-border considerations and international legal implications

  • Assist in fund formation and organizational structuring for private equity and venture capital vehicles

  • Monitor industry developments and regulatory updates relevant to alternative asset classes

  • Build and maintain client relationships through proactive communication and exceptional service

  • Mentor and guide junior attorneys, supporting their growth and skill development

  • Participate in business development initiatives, including client pitches and networking events

  • Prepare and present detailed legal memoranda and opinions on complex issues involving alternative investments

Requirements

  • 3–6 years of prior legal experience in transactions involving private equity, credit funds, real estate, venture capital, or infrastructure investments

  • Proven ability to draft, negotiate, and review sophisticated transactional documents

  • Demonstrated skill in conducting due diligence, assessing risk, and offering practical legal solutions

  • Solid understanding of regulatory frameworks and compliance requirements impacting alternative asset deals

  • Strong interpersonal and negotiation abilities, with experience collaborating on cross-functional teams

  • Exceptional analytical thinking and problem-solving aptitude

  • Admission to the bar in the jurisdiction where the role is based (Massachusetts preferred)

Education

  • Juris Doctor (J.D.) from an ABA-accredited law school

Certifications

  • Active bar membership in the relevant state; additional securities-related certifications (e.g., Series 7/63) are a plus but not required

Skills

  • Advanced drafting and document-review capabilities

  • Excellent oral advocacy and written communication

  • Proficiency in managing cross-border and multi-jurisdictional transactions

  • The capacity to mentor and provide constructive feedback to junior colleagues

  • Strong business acumen, with the ability to contribute to client development efforts
