Job Overview:
A leading global law firm is seeking highly motivated, mid-level Associates to join its nationally recognized Mergers & Acquisitions and Corporate Finance practice. This opportunity is ideal for candidates with strong experience in transactional law who are looking to take on a high level of responsibility within a collaborative and dynamic team. The position offers exposure to a wide range of complex commercial transactions, including M&A, leveraged buyouts, and corporate governance matters.

Location:

• Atlanta, GA

Duties:

• Advise on domestic and cross-border M&A transactions, leveraged buyouts, and general corporate matters

• Draft and negotiate key deal documents, including purchase agreements, operating agreements, and governance documents

• Conduct due diligence and manage transaction processes from initial structuring to closing

• Collaborate with investment bankers, advisors, and clients to provide strategic legal counsel

• Coordinate with subject matter experts across various practice areas

• Manage client relationships and support business development efforts

Requirements:

• 4–6 years of experience at a sophisticated law firm, with a focus on corporate transactions and M&A

• Proven ability to lead or support complex deals with minimal supervision

• Strong attention to detail and organizational skills

• Excellent analytical, written, and oral communication skills

• Ability to work independently and in team-based settings

• ESOP M&A experience or interest is a plus

Education:

• Juris Doctor (J.D.) from an accredited law school

• Strong academic performance preferred

Certifications:

• Admission to the bar in at least one U.S. jurisdiction (New York bar preferred for NY location)

Skills:

• Deep understanding of corporate law, mergers & acquisitions, and governance issues

• Ability to manage multiple priorities in a fast-paced environment

• Effective interpersonal skills for client interaction and team collaboration

• Familiarity with deal structuring, capital markets, and private equity is advantageous
