Corporate Associate Attorney

Profile

A law firm in Salt Lake City, UT is seeking a Corporate Associate Attorney with a minimum of 1 year of experience in corporate governance, mergers and acquisitions, securities and corporate finance, and general business law. The ideal candidate should possess strong academic credentials, a commitment to ethical practice, motivation, and the ability to work independently. The candidate should also have a background in preparing stock and asset purchase agreements, private placement memoranda, and SEC registrations. Membership in the Utah Bar is required, or the candidate must be willing to take the Utah Bar.

Duties:

• Drafting and reviewing stock and asset purchase agreements.
• Preparing private placement memoranda and SEC registrations.
• Providing legal counsel on corporate governance matters.
• Conducting due diligence for mergers and acquisitions.
• Advising clients on general corporate and business law issues.
• Collaborating with the corporate/business/securities group within the law firm.

Requirements:

• Minimum of 1 year of experience in corporate governance, mergers and acquisitions, securities and corporate finance, and business law.
• Excellent academic credentials from a reputable law school.
• Demonstrated commitment to ethical legal practice.
• Highly motivated and hard-working individual.
• Experience working in the corporate/business/securities group of a large law firm.

Education:

• Juris Doctor (JD) degree from an accredited law school.

Certifications:

• Member of the Utah Bar, or willingness to take the Utah Bar.
