Profile

Corporate Paralegal
Duties: Assists and supports the coordination of board meeting logistics; prepares draft agendas, actions, resolutions and minutes for corporation and subsidiaries. Maintains minute books for corporation and subsidiaries. Manages the distribution and collection of director and officer questionnaires annually. Supports the administration of the signature authority matrix. Primary role in managing and producing quarterly reports – interfacing with auditors, technical accounting team, human resources, contracts and other departments. Assists with the preparation and filing of select SEC documents (e.g., Section 16, 8-Ks, proxy and support for 10-Q and 10-K filings). Ensures compliance with NYSE and transfer agent rules regarding SEC filings. Assists with producing annual proxy statement, working with cross-functional team. Maintains accurate records of designated employees and assists with insider trading notifications and blackout trading windows. Collects signatures on legal documents and maintains accurate records. Performs notary and apostille services for corporation and business units.
