This is a premier opportunity for an attorney with significant fund formation experience and a portable book of business to work with a diverse client base, providing strategic counsel on fund structuring, regulatory compliance, investor negotiations, and governance issues. Lead and manage the formation of private investment funds, including:
Venture funds
Venture studios
Incubators and accelerators
Private equity funds
Crypto venture funds
Draft and negotiate key fund documents such as limited partnership agreements, subscription agreements, and private placement memoranda
Advise clients on fund structuring, compliance, and regulatory matters
Provide strategic counsel on corporate governance, fiduciary duties, and conflicts of interest
Assist clients with regulatory filings and compliance under federal and state securities laws
Counsel on SEC regulations, including the Investment Company Act and Investment Advisers Act
Handle securities filings and reporting requirements
Negotiate and draft transactional documents for fund-related investments
Coordinate multi-disciplinary transactions with other practice groups within the firm
Support mergers, acquisitions, joint ventures, and other corporate transactions involving fund clients
Participate actively in client pitches and business development initiatives
Build and maintain relationships with existing and prospective clients
Monitor industry developments and provide proactive advice to clients
Minimum of 7 years of meaningful experience in fund formation focused on private equity, real estate, venture capital, and other illiquid asset classes
Proven ability to advise on fund structuring, formation, capital raising, and regulatory compliance
Portable book of business required
Demonstrated ability to lead and manage complex transactions independently
Strong client-service approach with excellent communication skills
Ability to work collaboratively within a multidisciplinary team
Exceptional organizational skills and attention to detail
Responsive and professional service mindset
Juris Doctor (J.D.) degree from an ABA-accredited law school
Active license to practice law
Expertise in private fund formation, fund compliance, and private offerings
In-depth knowledge of securities laws and SEC regulations applicable to private funds
Strong drafting, negotiation, and strategic counseling skills
Excellent analytical, legal research, and writing abilities
Business development and client relationship management skills
