Associate Attorney needed for Walden office

A law firm in Walden, NY, is seeking an Associate Attorney with 3+ years of transactional experience, including drafting documents, deal negotiation, due diligence, corporate housekeeping, and obtaining regulatory approvals or licenses. This role will involve representing closely held companies in areas of corporate law and not-for-profit law, with a focus on contract drafting, business formation, sales and purchases, and commercial real estate.

Duties:

• Draft documents to complete transactions.
• Negotiate deals.
• Conduct due diligence.
• Maintain corporate housekeeping.
• Obtain regulatory approvals or licenses.
• Represent closely held companies in corporate law and not-for-profit law.
• Draft and review contracts.
• Facilitate business formation, sales, and purchases.
• Handle commercial real estate matters.

Requirements:

• 3+ years of transactional experience.
• Experience in estate planning, mergers and acquisitions, and intellectual property is a plus.
• Juris Doctorate from an accredited law school.
• Current license to practice in New York State.
• Proficiency with MS Office Suite, Adobe Acrobat, and PerfectLaw is preferred.
• Strong time management skills.
• Effective communication skills for heavy direct client contact.
