Job Overview:
A prestigious law firm in Chicago, IL is seeking a skilled finance attorney with mid-to-senior level experience in sponsor or lender-side financing. The role involves representing financial institutions and corporate clients in complex financing transactions, including acquisitions, buyouts, restructurings, and special situations.

Duties:

• Advise clients on a range of financing transactions, including acquisition financing, leveraged buyouts, and corporate restructurings.

• Represent lenders such as investment and commercial banks, business development companies, and other debt providers.

• Counsel borrowers, including private equity sponsors, on structuring and negotiating financing agreements.

• Draft, review, and negotiate credit agreements, security documents, and inter-creditor agreements.

• Collaborate with internal teams and external counsel to ensure seamless execution of transactions.

• Stay informed of industry trends and legal developments impacting corporate finance.

Requirements:

• Prior experience in finance law, with a focus on lender or sponsor-side transactions.

• Strong understanding of corporate finance structures, leveraged lending, and credit agreements.

• Ability to manage multiple transactions and work in a fast-paced environment.

• Exceptional negotiation and drafting skills.

Education:

• Juris Doctor (J.D.) from an accredited law school.

Certifications:

• Licensed to practice law and in good standing in at least one U.S. jurisdiction.

Skills:

• Expertise in complex finance transactions.
