Job Overview

A law firm seeks an experienced attorney to join their Startup and Emerging Growth Companies practice group in Potomac, MD. The ideal candidate will have over four years of experience working with emerging companies, collaborating directly with founders and investors to support the growth of new startups.

Duties

• Draft and manage equity and incentive compensation plans for employees and founders.
• Draft and negotiate commercial agreements, including vendor and licensing contracts.
• Advise founders on entity selection, formation, and organizational structuring.
• Lead, structure, and negotiate financing transactions, including Seed and Series A rounds.

Requirements

• J.D. from an accredited law school.
• Over four years of experience in business transactions, particularly in M&A, private equity, and venture capital.
• Maryland Bar admission (or willingness to obtain); DC and VA admission are a plus.
• Strong understanding of SAFEs, Convertible Notes, and NVCA Financing Documents.

Education

• J.D. from an accredited law school.

Certifications

• Maryland Bar admission (or willingness to obtain); DC and VA admission are a plus.

Skills

• Experience with equity and incentive compensation plans.
