Assistant General Counsel

Responsibilities: Provide strategic counsel, oversight and sophisticated judgment with regard to legal issues facing the Company, advising Brightmark on the legal and regulatory risks of possible business decisions. Draft and negotiate both simple and complex commercial contracts, including, NDAs, LOIs, consulting agreements, EPC agreements, feedstock supply agreements, site leases, interconnection agreements, procurement, and sale contracts. Responsible for working on legal aspects of the Company’s transactional matters with its business partners, including areas of development, real estate, title work, supply agreements, procurement, construction, and operations. Work with the finance team to structure, negotiate and execute equity and project finance transactions. Assist the E&O team on the negotiation of equipment procurement contracts to ensure the execution of the project is in line with other major project contracts and constraints . Serve as both legal counsel and business partner to the project development teams, providing highly commercial and creative solutions on business matters and project development. Assist with Procurement and Construction teams’ day-to-day requests. Supervise outside counsel and Brightmark legal personnel and staff attorneys. Work with the legal department to build Brightmark’s emerging company environment, helping shape the Company’s policies and best practices. Work with the legal department to coordinate the legal services provided by the Company; ensure internal and external client deliverables are timely and accurate. Assist with special projects as requested and adapt to new tasks and responsibilities as the business grows and changes. Protect the company's intellectual property as needed. Facilitate and support Brightmark’s growth and expansion as needed.
