Duties

• Draft registration statements and annual reports.
• Prepare materials for meetings and counsel on listing standards.
• Advise on '33 and '34 Act regulations and compliance.
• Work on IPOs, PIPEs, SPACs, and De-SPACs.
• Draft securities filings and corporate governance documents.
• Advise on corporate actions and filings.
• Collaborate with domestic and international companies, especially China-based firms.

Requirements

• U.S. law degree (J.D. or L.L.M.) from an ABA-accredited law school.
• New York attorney license in good standing.
• Three years of relevant experience.

Education

• J.D. or L.L.M. from an ABA-accredited U.S. law school.

Certifications

• New York attorney license.

Skills

• Strong knowledge of U.S. securities and corporate law.
• Experience with '33 and '34 Act regulations.
• Proficiency in drafting legal documents and filings.
• Ability to work with international companies.
