A law firm in New York City, NY, is seeking a highly experienced Senior Associate or Counsel-level Tax Attorney with 7+ years of expertise. The ideal candidate will possess substantial experience in counseling exempt organizations, tax structuring, business entity formation, and providing corporate counsel to nonprofit organizations. The role involves representing clients before various authorities and advising on various tax-related issues associated with philanthropic collaborations, donor-advised funds, private foundations, and corporations.

Duties:

• Counsel exempt organizations (private foundations and public charities) on structure, formation, charitable gift planning, transactional matters, and unrelated business taxable income strategy and planning.
• Engage in tax structuring and the formation of business entities, including registration with tax and regulatory agencies.
• Draft and revise operating agreements and other governance documents for clients.
• Serve as corporate counsel to nonprofit organization clients.
• Represent exempt organization clients in legal matters before the Office of the Attorney General, Internal Revenue Service, Department of Revenue Services, Probate Courts, and other authorities.
• Provide advice on structure and tax-related issues associated with venture philanthropy collaborations, donor-advised funds, private foundations, and corporations.

Requirements:

• 7+ years of experience in tax law.
• Expertise in counseling exempt organizations and tax structuring.
• Experience in corporate counsel roles for nonprofit organizations.
• Strong academic credentials, excellent writing, and analytical skills.
• Large-firm or equivalent experience.
• Admission to the New York Bar.

Education:

• Juris Doctor (J.D.) from an accredited law school.

Certifications:

• Admission to the New York Bar.

Skills:

• In-depth knowledge of tax laws related to exempt organizations.
• Excellent counseling and advisory skills.
