Duties

• Represent companies and investment banks in registered offerings and private placements of debt and equity securities.
• Advise public and private companies on corporate matters, including entity formation and board composition.
• Review and negotiate financing provisions of acquisition agreements and conduct legal diligence for M&A transactions.
• Advise on securities law matters, including drafting SEC filings and ensuring compliance with regulations.
• Conduct due diligence and provide strategic advice for mergers and acquisitions and other corporate transactions.

Requirements

• JD, LLM, or foreign equivalent.
• Two years of experience as an Associate or related occupation.
• Licensure in Texas or eligibility to obtain Texas law license within 12 months.

Education

• Juris Doctor (JD) or Master of Laws (LLM).

Certifications

• Licensed to practice law in Texas or another jurisdiction with eligibility for Texas licensure.

Skills

• Experience in corporate finance and securities law.
• Strong drafting and negotiation skills.
• Ability to conduct thorough legal diligence.
• Proficiency in advising on corporate governance and SEC reporting.
