Mid-to-Senior Level Corporate Associate Attorney

A law firm in New York City is seeking a Mid-to-Senior Level Corporate Associate Attorney to join their Startup and Venture Capital Group. The ideal candidate will have a strong affinity for technology and/or life sciences companies, along with superior academic credentials and excellent oral, written, and interpersonal skills. In-house candidates are encouraged to apply, provided they have previous experience in a law firm setting. Candidates must be barred in the state of New York.

Duties and Responsibilities:

• Provide strategic legal advice and counsel to startup, venture capital, and emerging company clients.
• Draft and negotiate a wide range of corporate agreements, including financing documents, shareholder agreements, and equity compensation plans.
• Assist clients with corporate governance matters, including board meetings and shareholder relations.
• Conduct due diligence and manage transactions related to mergers, acquisitions, and venture capital financings.
• Collaborate with senior attorneys and partners to manage client relationships and foster business development opportunities within the startup and venture capital sectors.
• Stay updated on industry trends and legal developments affecting startup and venture capital clients.

Requirements:

• JD from an accredited law school; admitted to the New York State Bar.
• 3+ years of experience in a sophisticated corporate law practice with a focus on startup, venture capital, and emerging company representation.
• Strong understanding of corporate finance, securities laws, and mergers and acquisitions.
• Proven track record of drafting and negotiating complex corporate agreements and advising on corporate governance matters.
• Excellent academic credentials with a demonstrated history of success in a law firm environment.
• Previous experience in-house combined with law firm experience is advantageous.
