Attorney - LATAM
The candidate will review and assist in the editing and negotiating of third party vendor agreements. Draft and redline commercial agreements, including order forms, amendments, SOWs, collaboration agreements, master service agreements, and NDAs to meet the business needs of the organization. Be a liaison for our LATAM clients and vendors. Assist in the research in different laws in Mexico and Latin American countries, with a focus on commercial and employment laws. Work closely with global sales team members regularly liaising with, professional services, customer support, finance, accounting, and hosting. Understand of moderate to complex legal terminology, has experience drafting contracts and knowledge of business needs within the software industry. Regularly update team documentation, including Legal and Sales training materials. Manage a moderate to high volume of contract drafting with input/direction from Legal team members. Assist with integration of acquired companies and works with Sales teams to align company practices. Assist corporate filings and entity management. Perform research on updated regulations to ensure compliance with applicable laws. Review fully executed agreements to determine effective/expirations dates, identifying and tracking reporting or other contractual obligations under such agreements. Provide support for routine questions and inquiries received from internal clients. Other responsibilities as assigned. Should have a law degree and Professional Certificate in Law. Must be able to read, write and communicate in English and Spanish. Superior organizational skills to prioritize work appropriately. Strong reading comprehension skills, especially as they relate to legal documents. Proficiency in acting as liaison with sales, prospects and clients. Must be able to work in a high-paced environment handling multiple tasks concurrently with great attention to detail. Must demonstrate ability to maintain a high level of confidentiality of projects, legal and business information at all times. Proficient in Microsoft Word, Excel, Outlook, and PowerPoint. Experience with AdobeSign, SharePoint, and Salesforce, preferred.
