Job Overview:

  • Seeking an experienced attorney with 3-6 years of transactional experience in project finance and/or structured asset-based finance and non-recourse lending transactions.
  • The ideal candidate will have major law firm experience representing sponsors, developers, borrowers, lenders, or investors, focusing on secured lending, tax equity, LLC financings, and joint ventures.
  • Preference for experience in clean energy and climate infrastructure finance, but adjacent project financing areas are acceptable with a strong interest in developing expertise in financing clean energy projects.
  • Will work closely with experienced partners and senior lawyers who provide active mentoring.
  • Strong drafting and negotiating skills, superior academic credentials, and excellent verbal, written, and interpersonal skills are required.

Duties:

  • Represent clients in project finance transactions.
  • Draft and negotiate project finance documents, including loan agreements, security documents, and inter-creditor agreements.
  • Conducted due diligence and assisted with project finance closings.
  • Advise clients on project finance structures and legal issues.
  • Collaborate with partners and senior lawyers on complex project finance matters.

Requirements:

  • JD from an accredited law school.
  • Admission to the State Bar of Texas or eligibility for admission by waiver.
  • 3-6 years of transactional experience, preferably in project finance.
  • Strong drafting and negotiating skills.
  • Excellent academic credentials.

Preferred:

  • Experience in clean energy and climate infrastructure finance.
  • Major law firm experience.
  • Experience representing sponsors, developers, borrowers, lenders, or investors.

Skills:

  • Strong analytical and problem-solving skills.
  • Excellent communication and interpersonal skills.
  • Ability to work independently and collaboratively.
  • Attention to detail and ability to manage multiple projects simultaneously.
