Job Overview:
A respected law firm is seeking a Corporate Attorney with 4–10 years of experience to join its Corporate Practice Group. This position offers the opportunity to work on a variety of sophisticated corporate matters, including mergers and acquisitions, governance issues, and capital transactions. The ideal candidate will have prior law firm experience and be eager to play a key role in advising privately held companies, entrepreneurs, and investors on legal strategy and compliance.

Location:

• Charlotte, NC

Duties:

• Advise clients on corporate law matters including entity formation, governance, and compliance

• Lead and support transactions involving mergers, acquisitions, and business reorganizations

• Review, draft, and negotiate commercial contracts and corporate agreements

• Provide counsel on capital raising efforts, including private offerings and equity investments

• Review and negotiate loan documents and financing agreements

• Work closely with business owners and management teams of privately-held entities

• Assist with regulatory filings and legal due diligence

Requirements:

• 4–10 years of corporate law experience in a law firm setting

• Experience working directly with clients on business transactions and contract negotiations

• Ability to manage multiple projects and meet deadlines

• Strong attention to detail and a commitment to high-quality legal work

Education:

• Juris Doctor (JD) from an ABA-accredited law school

Certifications:

• Admission to the North Carolina Bar (or ability to obtain licensure promptly)

Skills:

• Proficiency in corporate and transactional law

• Strong drafting, negotiation, and analytical skills

• Effective client communication and relationship management

• Ability to work independently and collaboratively within a team environment

• Familiarity with capital markets, loan transactions, and private equity (preferred)
