In-House Legal Counsel

The candidate will have primary responsibility will be reviewing, drafting and negotiating a wide variety of sophisticated commercial contracts, such as vendor/procurement, sales/service, and non-disclosure agreements/leases. Advise various internal departments regarding contract terms and implications on business operations, including providing guidance and practical solutions. Become a trusted partner within the organization. Manage relationships with multiple vendors who provide diligence and interacting with outside counsel. Provide clarification on legal language or specifications to everyone in the organization. Research and evaluate different risk factors regarding business decisions and operations. Apply effective risk management techniques and offer proactive advice on possible legal issues. Develop and maintain strong partnerships with internal stakeholders and executive teams to influence decision-making and achieve successful business outcomes. Coordinate due diligence and facilitate closings on acquisitions. Maintain current knowledge of relevant changes in legislation. Provide accurate and timely counsel to executives on a variety of legal topics (commercial transactions, business litigation, employment, wage & hour). Specify internal governance policies and regularly monitor compliance. Provide clarification on legal language or processes to everyone in the organization. Provide corporate legal advice regarding general corporate maintenance, legal entity formations and dissolution. Partner to negotiate real estate transactions.
