Job Overview

A law firm seeks a corporate associate with at least 5 years of public company and capital market experience for its San Francisco, CA office. The ideal candidate will have a strong background in public company reporting compliance, governance, and capital markets transactions.

Duties

• Manage public company reporting compliance and governance.
• Address day-to-day issues for public companies, including SEC compliance and disclosure matters.
• Ensure Nasdaq/NYSE compliance.
• Represent issuers or investment banks in capital markets transactions, including IPOs and equity/debt offerings.
• Engage in private investment in public entities (PIPEs) and at-the-market offerings.

Requirements

• Minimum of 5 years of experience in public company and capital market matters.
• Experience with SEC compliance and governance issues.
• Familiarity with Nasdaq/NYSE compliance.
• Experience with technology and/or life sciences companies is a plus.

Education

• Juris Doctor (JD) degree from an accredited law school.

Certifications

• Active membership in the California State Bar.
