Duties:
Draft, review, and negotiate a variety of corporate and commercial documents, including:
Entity formation and governance documents
Operating and shareholder agreements
Supply and vendor agreements
Asset and stock purchase agreements
Merger and acquisition transaction documents
Regulatory and compliance documentation
Represent clients in the negotiation of business transactions across various industries
Provide legal counsel on corporate structure, compliance, and strategic business planning
Collaborate with legal teams and business professionals across practice areas
Contribute to business development initiatives and client relationship management
Requirements:
4–8 years of corporate law experience, including transactional and M&A work
Strong drafting and negotiation experience
Experience working directly with business clients on a range of legal matters
Business development experience is a plus
Ability to manage multiple projects in a fast-paced, deadline-driven environment
Proven attention to detail and professional judgment in client-facing situations
Education:
Juris Doctor (J.D.) from an accredited law school
Certifications:
Active license to practice law in the state of Michigan (or eligibility to obtain)
Skills:
Excellent written and verbal communication skills
Strong legal research, analytical, and problem-solving capabilities
Ability to work independently and as part of a collaborative legal team
Sound understanding of corporate and transactional law
Organized, efficient, and responsive to client needs
