The candidate will be counseling clients with respect to corporate structure, draft corporate documentation and handle related corporate matters. Review, draft and negotiate technology agreements, such as SaaS, terms of use, development agreements, licensing agreements and IT infrastructure agreements, and provide related advice. Review, draft and negotiate documents and provide legal counsel on a wide range of matters impacting technology companies. Review, draft and negotiate commercial transactions for large corporations and fortune500’s. Develop and maintain strong relationships with clients. Provide exceptional customer service. Must have experience counseling clients on corporate matters or contracts, experience with technology transactions, privacy or securities is a plus. has a proven ability to handle confidential information with discretion. Has a proven ability to handle complex matters, with multiple initiatives going on simultaneously. Entrepreneurial, business minded and enjoys working in a fast-paced environment. Detail-oriented, organized, proactive and has strong communication skills. A self-starter and loves the freedom to work independently and remotely, but has the self-discipline to stay focused on the greater goals of the law firm. Possesses strong interpersonal skills and the ability to develop lasting business relationships. Consistently drives for excellence and pushes his/her own limits. Exceptional work ethic and drive.
