If so, this could be the role for you!This is a hybrid role with the flexibility to work both virtually and from our Chicago office.Aon is in the business of better decisionsAt Aon, we shape decisions for the better to protect and enrich the lives of people around the world.As an organization, we are united through trust as one inclusive, diverse team, and we are passionate about helping our colleagues and clients succeed.What the day will look likePrepare and file Section 16 filings (Forms 3,4 & 5) and related powers of attorney.Deliver Law Department support of other SEC filings.Prepare NYSE attestations and assist in  compliance with other NYSE listing requirements.Manage corporate calendar of filing dates and supporting actions.Manage documentation of corporate policies required by the SEC and/or NYSE, including maintaining Insider Trading Policy pre-clearance and restrictive period participant lists.Manage proxy statement related administration matters, including collection of data, preparation of meeting materials, preparation, dissemination, and review of annual D&O Questionnaires, maintaining biographies and other information.Help with legal operations matters including support for and reporting from matter management system for corporate legal matters.Help with both routine subsidiary matters such as entity governance, annual written consents, d/b/a filings and KYC requests and work collaboratively on projects with teams including Accounting, Treasury and Tax.Identify areas for process creation/improvement including developing templates and implementing internal automation tools to increase efficiency and consistency.Help with legal support for business client RFPs and KYC requests as needed.Help with capital markets and M&A transactions, including populating data rooms and coordinating internal NDAs.How this opportunity is differentThis role will join our Corporate Law team in a non-attorney role. In this role, you’ll provide support for the Company’s SEC filings, annual proxy statement, capital markets and M&A transactions, and subsidiary entity governance, as well as manage various special projects relating to corporate governance. Reporting to our Assistant General Counsel – Corporate & Securities, you’ll be joining a strong Law & Compliance department within a worldwide firm.Skills and experience that will lead to successAt least 7 years of experience as a corporate governance legal specialist or senior paralegal at a public company and/or law firm, with experience managing SEC filing preparation, including the annual proxy statement and Section 16 filings.Strong written and verbal communication skills and collaborative approach.Complete reliability handling confidential, often highly sensitive information.Very strong organizational skills and extreme attention to detail.A highly professional demeanor, can-do attitude and comfort dealing with senior management (please note this is not an attorney-level position).EducationBachelor’s Degree and/or an A.B.A. approved Paralegal CertificateHow we support our colleagues In addition to our comprehensive benefits package, we encourage a diverse workforce. The actual salary will vary based on applicant’s education, experience, skills, and abilities, as well as internal equity and alignment with market data.
