Job Title: Mid-Level ECVC Associate Attorney

Job Overview:
A distinguished law firm based in Portland, OR seeks a talented Mid-Level ECVC Associate Attorney to join its thriving Business Group. This role offers an excellent opportunity to work closely with entrepreneurial clients, including startups and established businesses, across a range of sectors. The successful candidate will handle sophisticated corporate transactions, focusing on capital raising initiatives, organizational structuring, and governance strategies, while collaborating with a dynamic team of attorneys located across multiple major markets.

Duties:

  • Advise clients on entity selection, formation, and corporate governance structures.

  • Manage a wide range of business matters for both emerging growth companies and established enterprises.

  • Structure and negotiate capital raising transactions, including private placements, angel investments, venture financings, and traditional banking arrangements.

  • Support clients through debt and equity financing deals involving a variety of investor types.

  • Collaborate across multiple offices to deliver coordinated, business-centric legal solutions.

  • Provide additional legal support on public company compliance, securities issues, and capital market activities (preferred but not required).

  • Participate in initiatives promoting diversity, equity, and inclusion, as well as pro bono work when desired.

Requirements:

  • Minimum of 3 years of corporate law experience, with a focus on governance and transactional work for early-stage and growing companies.

  • Demonstrated expertise advising on private offerings and venture capital transactions.

  • Experience with public company matters, capital markets transactions, and M&A is considered a strong plus.

  • Exceptional analytical, communication, and writing skills.

  • Proven ability to manage multiple complex projects simultaneously.

  • Client-focused approach with an emphasis on relationship building and responsive service.

  • Strong organizational skills with acute attention to detail.

  • Collaborative mindset, with an eagerness to contribute to a diverse and inclusive team environment.

Education:

  • Juris Doctor (JD) degree from an ABA-accredited law school.

Certifications:

  • Admission to the bar and active license to practice law in at least one U.S. jurisdiction.

Skills:

  • Corporate governance advisory.

  • Private offerings and capital raise expertise.

  • Strong drafting and negotiation capabilities.

  • Transaction management and client counseling.

  • Familiarity with public company reporting obligations (a plus).

  • Adaptability, initiative, and enthusiasm for working with entrepreneurial clients.
