Duties

• Represent mid-market businesses in transactional and governance matters.
• Support partners and senior associates on corporate and real estate matters.
• Counsel clients on entity formation and corporate governance.
• Manage due diligence processes.
• Draft resolutions and ancillary documents for M&A transactions.
• Prepare and review distribution, manufacturing, technology, and other agreements.
• Draft joint ventures, LLC operating agreements, and corporate shareholder agreements.

Requirements

• JD required; JD/MBA preferred.
• High level of academic achievement.
• Ability to exercise good judgment and prioritize effectively.
• Capable of working independently and leveraging resources.

Education

• Juris Doctor (JD) degree.

Certifications

• Bar admission in relevant jurisdiction.

Skills
