Director of Legal Affairs

The candidate will report to: President. Will maintain the official records of the Institute and the policies and procedures of the organization as a whole. Help with the periodic review and modification of Bylaws. Provide oversight of outside counsel: The Institute has relationships with several firms that provide legal advice including areas such as employment, student affairs, employee benefits, bond financings, construction project contracting, new venture creation, international business issues, and planned giving. Managing these relationships and understanding how and when to engage, or not engage, these firms on specific issues is a key component of the position. Work closely with the President, Board of Trustees and others on governance and regulatory matters. Work collaboratively with many offices on campus with sensitivity to the organizational culture and decision-making processes at a small arts college. Advise on business- and governance-related legal issues including, but not limited to, vendor contracts; software purchase and licensing agreements; equipment leases; energy purchase and service agreements; retirement and health benefit contracts; insurance and tax matters; college bylaws; conflict of interest; financial reporting and compliance issues. Work closely with the Office of Advancement, and the Gift Review Committee, in reviewing gift agreements. Provide advice with respect to the Institute's role as an employer, including activities related to employment discrimination and other grievances, compliance with employment law and regulation, and employee benefits programs. Provide advice on educational issues including but not limited to student discipline cases, art production and intellectual property issues, student travel abroad, and student events.. Provide legal support for involvement in idea and venture creation, including technology transfer and intellectual property agreements involving the Institute and its faculty, students, and alumni.
