The role focuses on fund formations, portfolio company acquisitions and exits, complex financing structures, and ongoing governance counseling for middle-market and upper-market sponsors.

Duties

• Lead and negotiate private equity deals: platform and add-on acquisitions, divestitures, recapitalizations
• Structure and document fund formations, limited partnership agreements, and side letters
• Draft and negotiate purchase agreements, credit agreements, equity documents, and ancillary deal contracts
• Oversee legal due diligence and coordinate cross-disciplinary teams (tax, IP, employment, regulatory)
• Advise on corporate governance, compliance, and post-closing integration matters
• Mentor and supervise mid-level and junior attorneys to ensure quality and efficiency
• Support business development initiatives and cultivate client relationships

Requirements

• 24 years of corporate practice with a strong concentration in private equity transactions
• Demonstrated track record managing complex deals from LOI through closing
• Exceptional drafting, negotiation, and issue-spotting skills under tight timelines
• Ability to manage multiple workstreams and stakeholders concurrently
• Portable book of business appreciated but not mandatory

Education

• J.D. from an accredited U.S. law school

Certifications

• Active admission to the California Bar (or ability to obtain promptly)
• Additional state admissions welcome
