Duties

• Assist with company formations and financings, including convertible notes and SAFEs.
• Manage venture capital and private equity transactions.
• Ensure compliance with federal securities and state blue sky laws.
• Facilitate joint ventures, spin-offs, and mergers and acquisitions.
• Advise on employment, consulting, and equity compensation matters.
• Address general corporate issues for venture-backed companies.

Requirements

• 2-5 years of relevant legal experience.
• Experience with venture capital funds or technology startups preferred.
• Background in a reputable law firm focused on emerging growth companies.

Education

• Juris Doctor (JD) degree.

Certifications

• Licensed to practice law in the state of Minnesota.

Skills
