Job Overview

A law firm seeks a midlevel corporate associate with experience in emerging companies and venture capital for its Stamford, CT office. The candidate will provide legal guidance on corporate and transactional matters, supporting clients from formation to exit.

Duties

• Advise emerging companies and venture capital investors on corporate and transactional matters.
• Draft and negotiate venture capital financing documents, including term sheets and convertible notes.
• Provide legal guidance on corporate governance, including board and shareholder issues.
• Support mergers and acquisitions, joint ventures, and strategic transactions.
• Conduct due diligence and assist in transactional closings.
• Act as outside corporate counsel to private companies.
• Manage internal and external client and counsel relationships.

Requirements

• 3 to 5 years of relevant experience.
• Must reside in the Stamford area at or prior to the time of hire.
• Work in the office at least three business days per week.

Education

• JD from an ABA Accredited Law School.

Certifications

• Licensed or eligible to become licensed to practice law in Connecticut.

Skills

• Strong academic background.
• Excellent research and writing skills.
• Relevant transferable skills.
