Duties

• Draft and negotiate definitive and ancillary transaction documents.
• Manage due diligence processes for various transactions.
• Advise private companies, investors, and portfolio companies on corporate matters.
• Collaborate with partners and clients throughout transaction lifecycles.
• Handle multiple matters efficiently with increasing responsibility.

Requirements

• 3+ years of experience in mergers and acquisitions and corporate transactions.
• Strong drafting, communication, and problem-solving skills.
• Ability to manage complex subject matter effectively.
• Ambition and team-orientation to support practice growth.

Education

• Juris Doctor (JD) degree.

Certifications

• Active bar admission in the jurisdiction of practice.

Skills

• Experience with private equity sponsored deals, particularly in middle-markets.
• Proficiency in entity formation, governance, and commercial agreements.
