Job Title: Corporate and LLC Attorney

Job Overview:
A San Jose-based law firm with a focus on supporting growing businesses, investment entities, and technology-focused startups is seeking a Corporate and LLC Transactions Attorney with at least three years of experience. This opportunity offers a strong pathway for professional growth in a collaborative, client-focused legal environment. The position emphasizes hands-on involvement in complex business formations, financings, and contract structuring for both early-stage and mature companies. The role also provides flexibility in work arrangements and participation in the strategic growth of the firm.

Duties:

• Advise clients on corporate structuring and governance for corporations and LLCs

• Draft and negotiate investor agreements including convertible notes, SAFE instruments, and preferred equity offerings

• Lead or support entity formation, corporate compliance, and annual governance matters

• Handle M&A transactions, including due diligence coordination and timeline management

• Draft complex LLC operating agreements involving preferred equity structures

• Structure and negotiate partnership and LLP agreements, including those governed by California law

• Conduct corporate finance transactions across multiple industry sectors

• Collaborate with attorneys across different practice areas for full-service client support

• Contribute to business development efforts including blog writing and client communications

• Participate in shaping the firm's strategic direction and community involvement

Requirements:

• Minimum 3 years of experience handling corporate and LLC transactional matters

• Proven experience with venture-backed and angel-backed company financings

• Strong organizational and drafting skills with attention to complex legal detail

• Capable of managing multiple projects in a fast-paced legal environment

• Ability to build and maintain strong client relationships

Education:

• Juris Doctor (JD) from an ABA-accredited law school

Certifications:

• Active and in good standing with the State Bar of California

Skills:

• Excellent legal research, drafting, and negotiation abilities
